4. Service engagements

When you engage us as a service provider (marketing agency, consulting, audits), a separate Services Agreement governs the engagement. That agreement takes precedence over these Terms for the specific engagement.

Key points typical to our service agreements:

• Fees: Paid in advance (monthly retainer or project fees)
• Term: Month-to-month or fixed-term (as agreed)
• Termination: 30 days' notice by either party
• Deliverables: Specified in the Services Agreement
• Confidentiality: Mutual obligations both ways

5. No guarantees of results

Marketing is inherently uncertain. While we use proven frameworks and apply senior expertise, we cannot guarantee specific results (revenue, ROAS, rankings, traffic, leads). Any forecasts are estimates based on historical data and reasonable assumptions, not commitments.

6. Payment terms

For paid services:

• Invoices are due on the date specified
• Late payments accrue interest at 1.5% per month
• We reserve the right to suspend services for accounts over 15 days past due
• Refunds are handled case-by-case per the Services Agreement

7. Limitation of liability

To the maximum extent permitted by law:

• Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim
• We are not liable for indirect, incidental, consequential, or punitive damages (lost profits, lost data, business interruption)
• We are not liable for decisions you make based on our recommendations — we provide expertise, you make the final call

8. Third-party services

Our work often involves third-party platforms (Meta, Google, Shopify, Klaviyo, etc.). We are not responsible for:

• Outages, policy changes, or feature removals by third parties
• Account suspensions or disapprovals by ad platforms
• Fees charged by third parties

9. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your violation of these Terms, your misuse of our services, or content you provide that infringes third-party rights.

10. Governing law

These Terms are governed by the laws of Maharashtra, India (for engagements with Bridging Associates Pvt. Ltd.) or Delaware, USA (for engagements with Bridging Associates LLC). Disputes will be resolved in the relevant courts.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced. Continued use after changes constitutes acceptance. The "last updated" date above always reflects the current version.
